These Terms of Use ("Terms") govern your access to and use of widgetweekly.com (the "Site"), operated by Widget Weekly ("Widget Weekly," "we," "us"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

Eligibility

You may not otherwise copy, reproduce, republish, modify, transmit, create derivative works from, sell, or exploit any content without our prior written permission and that of the applicable copyright owner. You acquire no ownership rights by using the Site.

You agree not to use the Site for any unlawful purpose or in any way that could damage, disable, overburden, or impair it, or interfere with anyone else's use of it. Without limitation, you agree that you will not:

Accounts

If the Site offers account features and you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You may not transfer your account to anyone else. Notify us promptly of any unauthorized use. We are not liable for losses arising from the theft or misuse of your account, and we may refuse service, suspend, or terminate accounts in our reasonable discretion.

Comments and Community

The Site may, now or in the future, offer comment areas, forums, or other community features ("Community Services"). However, by making a Submission you grant Widget Weekly a non-exclusive, royalty-free, worldwide, sublicensable license to use, copy, reproduce, distribute, publicly display, publish, edit, translate, and reformat your Submission in connection with operating and promoting the Site, and to publish your name in connection with it. No compensation is payable for any Submission. We are under no obligation to post or retain any Submission and may remove it at any time. You represent that you own or control all rights in your Submission and that it does not violate these Terms or any law.

Copyright Policy (DMCA)

We respect the intellectual property rights of others and expect our users to do the same. If you believe content on the Site infringes your copyright, please send a written notice to our designated agent at privacy@widgetweekly.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material you claim is infringing and its location on the Site; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

We will respond to valid notices as required by the Digital Millennium Copyright Act, including by removing or disabling access to allegedly infringing material. We may, in appropriate circumstances, disable or terminate the accounts of users who are repeat infringers.

Advertising and Sponsored Content

The Site may display advertising, sponsored content, and affiliate links. Advertisements and the products, services, or content of third-party advertisers are not endorsements by Widget Weekly, and we are not responsible for them. Any dealings you have with advertisers or through advertising are solely between you and the advertiser. Where required, sponsored or affiliate content will be identified as such.

Limitation of Liability

To the maximum extent permitted by law, in no event will Widget Weekly or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages. To the extent liability cannot be excluded, our total liability for any claim arising out of or relating to these Terms or the Site will not exceed one hundred U.S. dollars (US$100). If you are dissatisfied with the Site or these Terms, your sole and exclusive remedy is to stop using the Site.

Indemnification

You agree to indemnify, defend, and hold harmless Widget Weekly and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your Submissions, your violation of these Terms, or your violation of any law or the rights of any third party. We reserve the right to assume the exclusive defense of any matter subject to indemnification, at our own expense, and you agree to cooperate with us.

Dispute Resolution; Arbitration; Class Action Waiver

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at privacy@widgetweekly.com. We will try in good faith to resolve any dispute within 60 days of receiving your notice.

Binding arbitration. If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Site will be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator, and governed by the Federal Arbitration Act. Judgment on the award may be entered in any court with jurisdiction. This provision survives termination of these Terms.

Class action waiver. Arbitration will take place on an individual basis. Class arbitrations and class, collective, or representative actions are not permitted, and the arbitrator may not consolidate more than one person's claims.

Your right to opt out. You may opt out of this arbitration and class-waiver agreement by sending written notice to privacy@widgetweekly.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in court as described under Governing Law. Opting out does not affect any other part of these Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Subject to the arbitration provisions above, you and Widget Weekly consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute not subject to arbitration.

Termination

We may suspend or terminate your access to the Site, in whole or in part, at any time and in our reasonable discretion, including for any violation of these Terms. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

International Users

The Site is operated from the United States. If you access it from elsewhere, you do so on your own initiative and are responsible for compliance with local laws. You may not use the Site's content in any jurisdiction or manner where doing so would be unlawful.

General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Widget Weekly regarding the Site and supersede all prior agreements. If any provision is found to be unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them freely. No joint venture, partnership, employment, or agency relationship is created by these Terms or your use of the Site.
